1. Acceptance of Terms

By accessing or using Carpe Five ("Carpe Five", "the Platform", "we", "us"), operated by IWTBNB Group, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These Terms apply to all visitors, registered users, and merchants.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to register and participate. By creating an account, you represent that you meet this requirement. The Platform is not available to residents of jurisdictions where participation would be prohibited by law.

3. Game Mechanics & Rules

The game requires players to stop a timer as close to exactly 5.000 seconds as possible.
There are 10 progressive levels, each with decreasing tolerance thresholds.
Each game attempt costs in-game coins (Gold Coins). Costs vary by level.
Results are determined server-side. Client-side timing is used for display only; the server's measured elapsed time is authoritative.
Anti-cheat measures are in place. Attempts to manipulate timing, exploit network conditions, or use automated tools are prohibited and will result in account termination.
Level completion is permanent within a season. Completing all 10 levels qualifies you for the Grand Prize.

4. Virtual Currency & Rewards

Gold Coins () are in-game currency earned through gameplay, daily tasks, check-ins, watching ads, and referrals. They can be spent in the Shop. They have no real-world monetary value and are non-transferable.

Season Points (⭐) are earned based on timing precision each game. They determine leaderboard rankings within a season and reset at season end. They have no monetary value.

Billionaire Coins (BC ◆) are a pre-launch token accumulated through gameplay. See Section 5 for the full BC disclaimer.

5. Billionaire Coins (BC) Disclaimer

Billionaire Coins (BC) are a pre-launch digital token currently in accumulation phase. By participating, you acknowledge:

BC has no current monetary value and is not a financial instrument, security, or investment.
The on-chain deployment of BC is not guaranteed. We may modify, delay, or cancel the launch at our discretion.
BC should not be treated as a speculative asset. Do not make financial decisions based on anticipated BC value.
When (and if) BC launches on-chain, redemption will require a compatible wallet address and identity verification.
We reserve the right to set exchange rates, supply caps, vesting schedules, and redemption terms at the time of launch.
Accumulated BC may be forfeited if your account is terminated for violating these Terms.
Wallet Address Liability: You are solely responsible for providing a valid and correct blockchain wallet address when submitting a BC redemption request. Any BC transferred to an incorrect, invalid, or incompatible wallet address due to player input error will be permanently and irrecoverably lost. We bear no responsibility and are under no obligation to recover, resend, or compensate for tokens lost as a result of an incorrect wallet address submitted by the player.
KYC / Identity Verification: Submitting false, incorrect, or mismatched identity verification (KYC) information will result in redemption rejection. We are not obligated to process unlimited re-submissions. Repeated failed KYC attempts may result in permanent redemption disqualification at our sole discretion.

6. No Purchase Necessary

✅ This is a free-to-enter skill competition. No purchase is required to play or win.

Gold Coins used to play are earned entirely through free means: daily check-ins, task completion, watching optional ads, referrals, and registration bonuses. You are never required to spend real money to participate in any aspect of the game, including qualifying for the Grand Prize.

Paid items (if any are introduced) provide convenience advantages only and do not alter the fundamental skill requirement of the timing challenge. Any player who has earned sufficient free Gold Coins through normal gameplay may participate at the highest levels.

7. The Grand Prize

The Grand Prize (share of $1,000,000,000) is triggered when cumulative platform ad revenue reaches $1 billion in a season.
Eligibility: To qualify for the Grand Prize, a player must (a) successfully complete all 10 levels in the active season, AND (b) have accumulated at least 50,000 Season Points in the same season. Both conditions must be satisfied simultaneously.
All eligible players (meeting both criteria above) share the prize equally.
The prize is distributed among all qualifying players — the number of recipients is unlimited.
Prize disbursement requires identity verification (KYC) and compliance with applicable laws.
We reserve the right to verify all winning claims. Suspicious activity may result in disqualification.
The prize pool target ($1B) is based on cumulative ad revenue. There is no guarantee the threshold will be reached in any given season.
Email Address Responsibility: It is the player's sole responsibility to ensure that the email address registered on their account is correct, current, and accessible at all times. Prize notifications, KYC instructions, and disbursement communications will be sent exclusively to the registered email address. We bear no responsibility if a player fails to receive such communications due to an incorrect, abandoned, invalid, or full email inbox. We are under no obligation to resend notifications, extend claim deadlines, or make alternative contact arrangements as a result of player email errors.
Player Data Accuracy: Any failure to claim a prize or receive a reward due to inaccurate, incomplete, or false account information provided by the player (including but not limited to name, email address, date of birth, phone number, or identity documents) is entirely the player's own responsibility. We shall have no liability whatsoever in such circumstances.

7A. Player Responsibility for Account Information & Reward Claims

⚠️ Important: Accuracy of Your Account Information

By registering and participating, you acknowledge and agree that:

You are solely and entirely responsible for the accuracy of all information you provide, including your email address, display name, date of birth, phone number, wallet address, and identity documents.
Any prize, reward, or Billionaire Coin redemption that cannot be delivered, processed, or completed due to incorrect, outdated, or invalid information provided by you will be treated as forfeited. We will not be held liable for such losses.
If a Grand Prize notification cannot be delivered to your registered email address for any reason attributable to you (including but not limited to invalid address, full inbox, spam filtering, or email provider issues), we are not required to pursue alternative means of contact.
If a BC redemption fails because you submitted an incorrect wallet address, incompatible network address, or false KYC documents, the redemption will be rejected and we are under no obligation to retry, compensate, or reverse the transaction.
We expressly disclaim all liability arising from a player's failure to maintain accurate account information. All such losses are borne entirely by the player.

8. Merchant Services & Billing

Merchants who use the advertising platform agree to additional terms:

Ad credit purchases are processed by Stripe and are non-refundable except as required by law or as outlined in our refund policy (rejected campaigns are refunded to credit balance).
All ad content must comply with our Advertising Guidelines. We reserve the right to reject or remove campaigns that violate our policies.
Credits have no cash value and cannot be transferred to other accounts.
Merchants are responsible for ensuring their advertising content complies with applicable laws and regulations in all target jurisdictions.

9. Prohibited Conduct

You agree not to:

Use bots, scripts, or automated tools to play the game or earn rewards.
Attempt to hack, reverse-engineer, or exploit the Platform.
Create multiple accounts to abuse referral bonuses or promotions.
Engage in fraudulent transactions or chargebacks.
Share, sell, or transfer your account to another person.
Harass other users or platform staff.

10. Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms. Upon termination, your Gold Coins, BC balance, and Season Points are forfeited. Unused merchant ad credits may be refunded at our discretion.

11. Intellectual Property

All content on the Platform, including game mechanics, branding, UI, and code, is owned by IWTBNB and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without written permission.

12. Limitation of Liability & Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IWTBNB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF VIRTUAL CURRENCY, DATA, ANTICIPATED REWARDS, REVENUE, OR PROFITS.

We do not guarantee uninterrupted, timely, secure, or error-free operation of the Platform.
We do not guarantee that game results will be free from the effects of network latency, server load, or other technical factors. All game results are determined by the server's final calculation. Perceived discrepancies caused by network latency, device performance, or connection quality do not constitute grounds for dispute or appeal.
We do not guarantee that the Grand Prize threshold will be reached in any season, or that any particular level of prize will be available.
Our aggregate liability for any and all claims related to the Platform shall not exceed the total amount you have paid us (if any) in the twelve (12) months preceding the claim, or HK$100, whichever is greater.

13. Dispute Resolution & Arbitration

⚖️ Mandatory Arbitration & Class Action Waiver

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall first be resolved through good-faith negotiation for a period of thirty (30) days.
If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its then-current rules. The arbitration shall be conducted in English, with the seat of arbitration in Hong Kong.
Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding of any kind.
The arbitrator's award shall be final and binding and may be enforced in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive relief in the courts of Hong Kong SAR for intellectual property infringement or unauthorized access to the Platform.

14. Indemnification

You agree to indemnify, defend, and hold harmless IWTBNB, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content or information you submit to the Platform; or (e) your infringement of any third-party rights. This indemnification obligation survives termination of your account and these Terms.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, civil unrest, government actions or sanctions, epidemics or pandemics, power outages, internet or telecommunications failures, cyberattacks (DDoS, hacking, ransomware), third-party service outages (including Stripe, Supabase, Vercel, or cloud providers), or any other event beyond our reasonable control. During any such period, our obligations under these Terms shall be suspended.

16. Geographic Restrictions & Regional Compliance

The Platform is not available in all jurisdictions. Access to and use of the Platform may be restricted or blocked in certain countries or regions, including but not limited to mainland China, South Korea, and parts of the Middle East, in compliance with local laws and regulations.

It is your sole responsibility to determine whether your use of the Platform complies with the laws of your jurisdiction.
Circumventing geographic restrictions (via VPN or other means) to access the Platform from a restricted jurisdiction is a violation of these Terms and may result in immediate account termination and forfeiture of all virtual currency, rewards, and prizes.
We bear no liability for any legal consequences you may face as a result of accessing the Platform from a jurisdiction where such access is prohibited or restricted.

17. Third-Party Services

The Platform relies on third-party services including Stripe (payments), Supabase (database and authentication), Vercel (hosting), and various advertising networks. We are not responsible for the availability, accuracy, security, or policies of these third-party services. Any disruption, data loss, or issue caused by a third-party provider is outside our control and shall not give rise to any claim against us.

18. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance. We will notify registered users of material changes via email or in-app notification.

19. Governing Law & Legal Compliance (Hong Kong)

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

Gambling Ordinance (Cap. 148): IWTBNB is a free-to-enter skill-based competition. No monetary consideration is required to participate. The platform does not constitute unlawful gambling under Hong Kong law as: (a) no purchase is necessary; (b) outcomes depend entirely on the player's precision skill; and (c) prizes are funded by advertising revenue, not player entry fees.
Lotteries & Gambling (Miscellaneous Provisions) Ordinance: The Grand Prize is a promotional prize funded by advertising revenue, not a lottery. Participation is free and skill-based.
Personal Data (Privacy) Ordinance (Cap. 486): We collect and process personal data in accordance with the PDPO. You have rights to access and correct your personal data. See our Privacy Policy for full details.
Anti-Money Laundering: Prize disbursements above applicable thresholds require identity verification (KYC/AML) in compliance with Hong Kong's Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615). We reserve the right to request supporting documents before releasing any prize payment.
Age Restriction: In compliance with Hong Kong law, participation is restricted to persons aged 18 or above.
